Advice on Company Structure

Depending on the nature of your business, there are several options open to you regarding the structure of your company. As chartered certified accountants, we have a lot of experience in different business structures and can advise you accordingly. For example, you may not have considered share structuring, the types of shares and the number of shares.

Forming Your Limited Company

Once you are ready to form your new company we can handle every aspect of the registration process. We have registered hundreds of companies for our clients over the years, so you can rest assured you’re in good hands.

Michael King & Co are an approved agent under Companies House. And as such, we’ll incorporate your company and manage all of the respective filings. We’ll create your memorandum of articles and association to meet your business requirements. (These are legal documents outlining how your company is formed, how it is structured and how it will be run).

Upon registration, you’ll receive a certificate of incorporation for your new limited company and share certificates for the respective shareholders.

Company Secretarial Services

Once your company is set up, you have ongoing responsibilities to ensure you remain compliant with Companies House. Michael King & Co can therefore act as your Company Secretary to give you peace of mind that everything is taken care of.

We will advise you on changes in company structures and ensure that all the paperwork is in place. In addition, we will make sure your annual confirmation statement is filed with Companies House.

As your company secretary, we’ll ensure that you comply with the financial and legal requirements and maintain corporate governance standards.

Registered Office Address

All limited companies must publicly register a mailing address. However, like many new businesses, your company may be starting its life operating from home. So, naturally you may not want to register your home address. Alternatively, you may just want your business to have a more professional looking address.

We therefore offer a registered office address service, where companies may use our offices as their registered office address. We also offer the same service for company directors, who must also register a mailing address with Companies House.

Overseas Companies

We work with overseas companies who hold property in the UK, filing for them with Companies House as required under the Economic Crime Act. Contact our specialist team for more information.
